The terms that govern your use of Mirchi.

1. Services

Mirchi provides menu audit, brand positioning, virtual brand planning, menu optimization, delivery platform guidance, and related support for Indian restaurants. Specific deliverables vary by plan, including self- serve and higher-touch options described on our site or in direct sales conversations.

2. Eligibility and Business Use

You may use Mirchi only if you are legally able to enter into a binding agreement on behalf of yourself or the restaurant business you represent. You are responsible for making sure the information you provide to Mirchi is accurate and current.

3. Accounts, Purchases, and Billing

Some Mirchi plans may be purchased online, while others may begin after a demo, audit, or manual onboarding process. If you subscribe to a paid plan, you agree to pay applicable fees, taxes, and charges when due. Unless otherwise stated in writing, plans are billed on a recurring month-to-month basis until canceled.

Payment processing may be handled by third-party providers such as Stripe. Your use of those providers is subject to their own terms and policies in addition to these Terms.

4. Cancellations

You may cancel future renewals at any time. Cancellation stops future billing going forward but does not automatically refund charges already incurred. See the Refund Policy for additional details.

5. Restaurant Responsibilities

You are responsible for your own restaurant operations, including:

• maintaining required licenses, permits, and health compliance;
• ensuring your listings, menus, and claims are accurate;
• complying with DoorDash, Uber Eats, Grubhub, and similar platform rules;
• setting final prices, availability, and operational policies; and
• reviewing Mirchi recommendations before implementation.

6. No Guarantee of Results

Mirchi is designed to help restaurants improve delivery positioning and revenue potential, but we do not guarantee any specific number of orders, rankings, conversions, or revenue outcomes. Performance depends on factors outside our control, including local demand, operations, pricing, food quality, execution, platform changes, competition, and your follow-through.

7. Intellectual Property and Deliverables

The Mirchi website, materials, and service methods are owned by Mirchi or its licensors. Subject to payment of applicable fees, you may use the deliverables we provide for your internal restaurant business purposes. You may not resell, sublicense, or redistribute Mirchi materials as a standalone product without written permission.

8. Testimonials and Case Studies

We will not publicly identify your restaurant as a customer testimonial or case study without your permission. If you separately agree to a case study or testimonial, you grant us permission to use the approved information for marketing and sales purposes.

9. Prohibited Use

You may not use Mirchi to:

• violate law or third-party rights;
• submit false, deceptive, or unauthorized restaurant information;
• reverse engineer or copy Mirchi materials for a competing service; or
• interfere with the site, infrastructure, or other customers.

10. Disclaimer of Warranties

To the maximum extent permitted by law, Mirchi is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Mirchi and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption. Our total liability for claims arising out of or related to Mirchi will not exceed the amount you paid to Mirchi in the three months before the event giving rise to the claim.

12. Indemnity

You agree to defend, indemnify, and hold harmless Mirchi from claims, liabilities, damages, losses, and expenses arising from your restaurant operations, your misuse of Mirchi, your violation of these Terms, or your violation of any platform rules or applicable law.

13. Changes to the Service or Terms

We may update the site, plans, pricing presentation, and these Terms from time to time. If we make a material change, we may update the date above and, where appropriate, provide additional notice.

14. Governing Law

These Terms are governed by applicable law in the jurisdiction selected by Mirchi, without regard to conflict of law principles. Venue for any dispute will lie in a court of competent jurisdiction chosen by Mirchi, unless applicable law requires otherwise.
